Terms of Service

These Terms of Service (“Terms”) govern your use of the OmnitrixHub software-as-a-service platform (“OmnitrixHub”), owned and operated by WAM DevTech, Inc. (“we,” “us,” or “our”).

By accessing or using OmnitrixHub, you (“Customer,” “you,” or “your”) agree to be bound by these Terms. If you are using OmnitrixHub on behalf of an organization, you represent that you have the authority to bind that organization.

Use of Service

OmnitrixHub is a cloud-based platform designed for automotive dealership operations, including but not limited to market pricing, vehicle listing automation, task tracking, and workflow optimization. Access is provided only to registered and authorized users.

You agree to use OmnitrixHub in compliance with all applicable laws and not to:

• Interfere with other users’ access or security.
• Attempt to reverse engineer, decompile, or access source code.
• Use the service for unauthorized, malicious, or unlawful purposes.

Subscription and Payment

Access to OmnitrixHub may require a paid subscription. Details, including pricing and billing frequency, are outlined in your separate agreement or subscription plan.

Failure to pay may result in:

• Suspension of access to the platform.
• Termination of your account.
• Loss of access to dealership data stored within the platform.

Data and Content

You retain ownership of your dealership’s data uploaded or entered into the system. By using the service, you grant us a license to use, store, and process this data solely to provide and improve the platform.

You are responsible for ensuring the legality, accuracy, and integrity of your data.

Intellectual Property

OmnitrixHub, including all software, features, and branding, is the intellectual property of WAM DevTech, Inc. All rights not expressly granted to you in these Terms are reserved.

You may not use our name, logo, or content without our prior written consent, except as permitted under fair use.

Confidentiality

You agree to treat all non-public information you access through the platform, including our system architecture and business logic, as confidential.

We will treat your dealership’s business data and operational processes as confidential, unless disclosure is required by law.

Termination

We may suspend or terminate your access if you violate these Terms, fail to pay, or engage in abusive behavior.

You may cancel your subscription with written notice, subject to any minimum contract period or notice terms outlined in your subscription agreement.

Disclaimer of Warranties

OmnitrixHub is provided “as is” and “as available”. We do not warrant that the service will be uninterrupted or error-free.

To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

Limitation of Liability

To the fullest extent permitted by law, WAM DevTech, Inc. shall not be liable for any indirect, incidental, or consequential damages, including lost profits, arising from your use of the service.

Our total liability shall not exceed the amount paid by you to us in the 12 months preceding the event giving rise to the claim.

Modifications

We may update these Terms from time to time. We will notify you of any material changes. Continued use of the service after changes are posted constitutes your acceptance.

Governing Law

These Terms are governed by the laws of the Commonwealth of Virginia, without regard to conflict of law principles.

Any disputes shall be resolved in the state or federal courts located in Loudoun County, Virginia.
